1. Introduction and Acceptance

These Terms of Service ("Terms") govern your use of RedactProof (operated by Popsall Ltd) ("we", "us", or "our"), a browser-based document redaction platform ("the Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Service Description

RedactProof provides browser-based document redaction software. Key features include:

  • - Client-side processing: Our standard AI detection runs entirely within your browser - your documents and text never leave your device. Pro and Team subscribers can optionally enable the Pro Detection Engine, which sends extracted text to Cloudflare Workers AI for enhanced detection - this text is processed in volatile memory for inference only. It is not persisted to disk, stored as document content, or used for model training.
  • - AI-powered detection: Our detection model identifies potentially sensitive information (PII). No customer documents are ever used for model training or improvement.
  • - Verification certificates: Cryptographic certificates verify the integrity of redactions.
  • - Audit trails: Export history and verification logs (Pro and Team tiers).

2A. Service Availability

We aim to provide reliable access to the Service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:

  • - Scheduled maintenance (we will provide advance notice where practicable)
  • - Emergency maintenance or security updates
  • - Factors beyond our control (internet outages, third-party service failures)

We do not offer uptime guarantees or service level agreements for individual or small business subscriptions.

3. Account Registration

To access certain features, you must create an account. You agree to:

  • - Provide accurate and complete registration information
  • - Maintain the security of your account credentials
  • - Accept responsibility for all activities under your account
  • - Notify us immediately of any unauthorized access

3A. Professional Use Representation

By using the Service, you represent that you are using it primarily for business, commercial, or professional purposes (such as legal compliance, HR document processing, or professional document management) rather than for personal, family, or household purposes.

Consumer Rights: If you are a consumer using the Service for personal purposes, applicable consumer protection laws may override certain provisions of these Terms. Nothing in these Terms affects your statutory rights as a consumer where such rights cannot be waived or limited by contract.

4. Subscription Plans and Billing

4.1 Available Plans

We offer the following service tiers:

  • - Free: Unlimited pattern-based recognition, secure pixel-burn redaction, unlimited exports with footnote attribution
  • - Core: $25/month or $249/year - On-device AI detection, professional exports, tamper-evident certificates, OCR text restoration
  • - Pro: $99/month or $990/year - Everything in Core plus unlimited documents, full audit trail, Precision detection engine, priority support
  • - Team: $329/month or $3,290/year - Everything in Pro plus 5 seats, team admin dashboard, document iteration tracking

4.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually). Payment is processed via Stripe. All prices are shown in USD.

4.3 Auto-Renewal Disclosures

AUTOMATIC RENEWAL NOTICE

  • - Automatic Renewal: Your subscription will automatically renew at the end of each billing period.
  • - Renewal Price: You will be charged the then-current price for your plan (currently $25-$329/month or $249-$3,290/year depending on plan).
  • - Cancellation: You may cancel at any time through your account dashboard at app.redactproof.com/settings. Cancellation takes effect at the end of your current billing period.
  • - Confirmation: You will receive a confirmation email within 24 hours of subscribing with cancellation instructions.

By subscribing, you expressly agree to these automatic renewal terms. You will receive a reminder email before each renewal.

4.4 Price Changes

We may change subscription prices from time to time. Price changes take effect at the start of your next billing period following at least 30 days' written notice to the email address associated with your account. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

4.5 Late or Failed Payments

If a payment fails, we will attempt to process it again and notify you by email. If payment remains outstanding for more than 14 days, we may suspend or restrict access to paid features until the balance is resolved.

5. Cancellation and Refund Policy

5.1 Your Right to Cancel

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period.

5.2 14-Day Money-Back Guarantee

New subscribers may request a full refund within 14 days of their initial subscription purchase. Email support@redactproof.com to request a refund.

5A. Suspension and Termination

5A.1 Termination by You

You may close your account at any time by cancelling your subscription through your account dashboard and emailing support@redactproof.com to confirm account deletion.

5A.2 Suspension and Termination by Us

We may suspend your access to the Service immediately and without prior notice where we reasonably believe it is necessary to prevent harm to the Service, other users, or third parties, or where we are required to do so by law or regulatory order.

In all other cases, we will provide at least 14 days' written notice to the email address associated with your account before terminating your account. We may suspend or terminate your account in the following circumstances:

  • - You materially breach these Terms and fail to remedy the breach within 14 days of written notice (where the breach is capable of remedy)
  • - You commit a material breach that is not capable of remedy
  • - Your payment remains outstanding for more than 30 days despite written notice
  • - We are required to do so by law or regulatory order

5A.3 Effect of Termination

Upon termination:

  • - Your right to access the Service ceases immediately (or at the end of your current billing period, if you cancel voluntarily)
  • - Because the Service processes documents client-side, we do not hold your document content and cannot return it
  • - We will delete your account data within 30 days of termination, except that we may retain the following for the periods specified:
  • Billing records and transaction history: up to 7 years (as required for tax and accounting compliance)
  • Server logs containing your IP address or account identifiers: up to 90 days (for security, fraud prevention, and abuse detection)
  • Records reasonably necessary to resolve any pending dispute, chargeback, or legal claim: for the duration of such proceedings plus any applicable limitation period
  • - Sections 8, 9, 10, 10A, and 11 survive termination

6. Acceptable Use

You agree not to use the Service to:

  • - Violate any applicable laws or regulations
  • - Infringe intellectual property rights of others
  • - Process documents you do not have authority to handle
  • - Attempt to circumvent security measures
  • - Reverse engineer, decompile, or disassemble the Service

7. Data Processing and Privacy

Client-side processing: Our standard AI detection runs entirely within your browser - your documents and text never leave your device. When the optional Pro Detection Engine is enabled (Pro/Team), extracted text is sent to Cloudflare Workers AI - this text is processed in volatile memory for inference only. It is not persisted to disk, stored as document content, or used for model training. Processing may occur at any Cloudflare data centre globally. We do not access or retain your document content.

8. Intellectual Property

8.1 Our Intellectual Property

The Service - including its source code, design, user interface, documentation, logos, and all related intellectual property - is and remains our exclusive property (or that of our licensors). These Terms do not grant you any right, title, or interest in the Service beyond the limited right to access and use it in accordance with these Terms.

8.2 Your Content

You retain all rights to documents and data you process using the Service. We claim no ownership of your content. To the extent we process any content on your behalf (for example, text transmitted to our detection engine, or metadata captured in logs), you grant us a limited, non-exclusive, revocable license to use that content solely for the purposes of operating, securing, maintaining, and improving the Service. This license does not permit us to store your document content beyond the duration of processing, use your content to train machine learning models (unless you explicitly opt in to such a program), or disclose your content to third parties except as required by law.

8.3 Feedback

If you voluntarily provide suggestions, feature requests, or other feedback about the Service, we may use that feedback without restriction or obligation to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI DETECTION WILL IDENTIFY ALL SENSITIVE INFORMATION. YOU ARE RESPONSIBLE FOR REVIEWING REDACTIONS BEFORE SHARING DOCUMENTS.

AI-POWERED DETECTION IS PROVIDED AS AN AID TO HUMAN REVIEW, NOT AS A SUBSTITUTE FOR IT. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AUTOMATED DETECTION RESULTS. YOU BEAR SOLE RESPONSIBILITY FOR VERIFYING THAT ALL SENSITIVE INFORMATION HAS BEEN PROPERLY IDENTIFIED AND REDACTED BEFORE SHARING OR PUBLISHING ANY DOCUMENT PROCESSED THROUGH THE SERVICE.

THE SERVICE IS NOT DESIGNED OR INTENDED FOR USE AS THE SOLE COMPLIANCE MECHANISM IN REGULATED, SAFETY-CRITICAL, OR HIGH-RISK CONTEXTS - INCLUDING BUT NOT LIMITED TO MEDICAL RECORDS PROCESSING, LEGAL DISCLOSURE OBLIGATIONS, OR SAFETY-CRITICAL SYSTEMS - WHERE FAILURE TO REDACT COULD RESULT IN SIGNIFICANT HARM. IF YOU USE THE SERVICE IN SUCH CONTEXTS, YOU DO SO AT YOUR OWN RISK AND MUST IMPLEMENT INDEPENDENT VERIFICATION PROCEDURES APPROPRIATE TO YOUR REGULATORY AND PROFESSIONAL OBLIGATIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REDACTPROOF BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Notwithstanding the foregoing, our total aggregate liability shall not be less than one hundred US dollars ($100.00).

10A. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, internet or telecommunications failures, or power outages.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

11.2 Informal Resolution Required

Before initiating any formal proceedings, you must first attempt to resolve the dispute informally by contacting us at legal@redactproof.com. We will attempt to resolve the dispute within 30 days. If the dispute is not resolved within 30 days, either party may proceed with formal proceedings.

11.3 Small Claims Court

Either party may bring qualifying claims in small claims court in your county or city of residence, or in London, England, provided the claim does not exceed the jurisdictional limit of that court.

11.4 Exclusive Jurisdiction

For all disputes not eligible for small claims court, the courts of England and Wales shall have exclusive jurisdiction. You consent to personal jurisdiction in England and Wales.

11.5 Class Action Waiver

YOU AND REDACTPROOF AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive the right to participate in a class action lawsuit or class-wide arbitration against us. This waiver applies regardless of the forum in which any dispute is resolved.

12. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via the email address associated with your account and, where practicable, by notice within the Service. The updated Terms will also be posted on this page with a revised "Last updated" date. Your continued use of the Service after the changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription before the changes take effect.
